Methods of Implementation

The implementation of the MKR Program is generally described below, but may be modified as we complete our due diligence and agree upon specific objectives and strategies.

The activities to initiate implementation include:

Completing our Due Diligence - Have the MKR team visit the company to tour the facilities and interview management to get a more intimate perspective of the investment thesis.

Conducting an MKR Community Survey - The survey will sample an audience comprised of (i) analysts following the industry; (ii) current shareholders; and (iii) interested parties.

Peer Comparison - MKR will assess the market valuation of the company compared to its peer group and develop a clear understanding of the company’s distinguishing characteristics.

Target List - MKR will develop strategic buy-side and sell-side target lists with individuals who play in the appropriate space. These lists will be refined and updated on an ongoing basis.

Internal & External Communications - MKR will work closely with management to address all internal issues, ensuring they are properly addressed to the Street with the underlying goal of maximizing the credibility of the company to the investment community. This will include the off-loading of some investor calls to MKR, and the distribution of investor kits to potential shareholders and interested parties.


The activities will fall into the following five general areas:



Management Consulting

The MKR Group will provide expert advice on investor related issues that may arise for a public company, including the handling of both disclosure and crisis management issues.

The MKR Group can help guide management in dealing with analysts and investors expectations of a company’s financial performance. As we help fine-tune the company’s story to Wall Street, MKR will be available to assist in evaluating the likely reaction of the investment community to such actions as acquisitions, financings, stock dividend policies, share repurchase programs, stock splits, changes in exchange, as well as any other issues that may arise.

Investor Community Marketing

A large portion of the MKR Program will be our efforts to market a company’s story to the financial community at large. Our marketing effort is designed to stimulate informed interest for the company in the U.S. through consistent interaction with analysts, investors and investment bankers.

MKR Survey - The results of the survey will be provided to management in a written format, and will be instrumental in the fine-tuning of the investment story.

Marketing Target Group - MKR will compile a comprehensive buy-side and sell-side target group that will assist in forming the basis for our marketing effort. This target group will be continually monitored, updated and expanded.

Buy-Side - The buy-side targets will be directed towards the money managers who focus on the company’s industry and market cap size.

Sell-Side - The sell-side target group will include analysts from both regional and large investment banks who follow the company’s industry.

Shareholder and Press Communication of the MKR Program

Material News Releases - MKR will edit and disseminate all news releases on material events such as earnings, financings, business combinations, transactions, dividends, management changes and other corporate initiatives.

Conference Call - MKR will organize periodic conference calls with a company’s investors and target analysts. We recommend that a conference call coincide with the release of earnings, and with important corporate developments. Also, with the recent implementation of Regulation FD (Fair Disclosure) by the Securities and Exchange Commission, a public company that previously gave information about company performance to selected analysts or investors must provide the same kind of information to the public at large via the media or an open conference call. In connection with the conference call, we will handle all technical arrangements and web enhanced features that MKR offers through its web site. MKR will also provide management with an outline script of suggested remarks, and prepare management for the Q & A portion of the conference call. MKR will also engage in an aggressive call-marketing program to increase the awareness of the call to investors and analysts.

Annual Report - MKR will assist in the development of the theme and structure of the annual report, and provide quality control over the final copy. For an additional fee, MKR will assist a company in the engagement of a graphic designer and assist in the development of the over-all narrative copy.

Stock Performance - MKR will monitor the company’s and its peer’s stock activity during market hours. We will continually poll analysts and investors who actively follow the company and keep abreast of the current attitude that Wall Street holds towards the company and the space it trades in.

Although MKR will not focus its attention on a media program, we will assist outside or internal PR counsel to aggressively market and enhance the investor relations story.

An important resource for the MKR Program is the MKR NewsLink. This service focuses on the financial wire services, ensuring that news releases are structured in the proper way to be picked up by the Dow Jones News Ticker, Reuters, and Bloomberg, services which Institutional investors and Retail Brokers monitor daily for market information. The NewsLink service will also advance the dissemination of press releases to online communities as well as online newspaper and magazine publications. The MKR NewsLink also monitors a company’s chat rooms, keeping the company informed of the on-line investment community’s activities.

Internet Activities

A key element of MKR’s philosophy is the importance of using the Internet as a tool to achieve a company’s investor relations goals. We will implement a specifically tailored web program for the company that works in concert with our ongoing investor relations efforts.

The immediate goals of an MKR investor relations web site are:

1) Create a web location where the company's investors, employees and potential investors have timely, comprehensive, easily accessible investor information;

2) Ensure that all investor information is the latest and most up-to-date material available;

3) Present the investor information as a "live document" that will both give a sense of immediacy to the company's Wall Street story and focus investors' attention on the elements of the story that we want to emphasize; and

4) Market and position the web site with a focus on drawing a new high-level investor.

Some of the elements that are included in an MKR investor relations web site are: Press Releases, Stock Status, Quarterly Earnings Reports, Annual Report, Analyst Coverage and Contact Information, company Contact Information, Corporate Profile, Article Archive, News (Quick Overview of Recent Releases and Events), SEC Filings (EDGAR Search), Request Form (For Client Subscription--E-mail, Fax Sign-up), Equation Information, Conference Call Forum and CEO Forum. For an additional fee MKR can also provide realtime financial information.
